I hereby irrevocably grant to Merkley + Partners Inc. (“Agency”), its client, Benihana National Corp. (“Client”), and their respective subsidiaries, affiliates, successors and assigns, and to other such persons as Agency or Client may designate from time to time, the absolute and unrestricted right in perpetuity and release to use and reuse my name and my statement, attached as Exhibit “A”, which I previously posted on social media, in any and all media including but no limited to Internet including social sites, and broadcast media, alone or accompanied by other material, throughout the world for the purpose of advertising, marketing and promoting Client’s products and services.

I hereby waive any rights to inspect and approve the finished materials or their use. Nothing herein will constitute any obligation on Agency’s part to make any use of any of the rights set forth herein. I agree that all right, title and interest in and to the finished product, including the copyrights therein, shall vest exclusively in Client. I hereby release and discharge both Agency and Client from any liability by virtue of any blurring, distortion, alteration, optical illusion, or use in composite form, whether intentional or otherwise, that may exist in any media.

I represent and warrant that I have the full right and power to execute this Release and I agree further that I will not hold Agency, Client, or anyone who receives permission from either of them, responsible for any claim or liability resulting from the use of my name or statement in accordance with the terms hereof.

This Release contains the entire understanding between the parties and supersedes all prior understandings. No waiver, modification or additions to this agreement shall be valid unless in writing and signed by both parties hereto.
